Double win for Țuca Zbârcea & Asociații as they win Deal of The Year Award by CEE Legal Matters and Most Innovative Law Firm: Romania at the IFLR Europe Awards

In late March, member firm for Romania, Țuca Zbârcea & Asociații won a coveted Deal of the Year Award, during the awards ceremony organised by CEE Legal Matters in Budapest. In early April, the firm also scooped the Most Innovative Law Firm of the Year: Romania at this year’s IFLR Europe Awards held in London.

Țuca Zbârcea & Asociații and other five international law firms (CMS; Dentons; Freshfields Bruckhaus Deringer; Ropes & Gray; Kirkland & Ellis) were the winners of the 2018 CEE Deal of the Year Award, for their work on the Sanofi/Zentiva – Advent International deal. The event was organised on March 28 by CEE Legal Matters, an international publication, and has gathered more than 90 lawyers from leading international and domestic outfits from the CEE region. In addition, the same firms received a second award - the Czech Deal of the Year Award for the Sanofi/Zentiva – Advent International transaction. “Țuca Zbârcea & Asociații played a significant role on the Advent/Zentiva deal,” said CEE Legal Matters Executive Editor David Stuckey. “Their award for CEE Deal of the Year is well-deserved.”

Commenting on this award, Silvana Ivan-Hanganu, Partner at Țuca Zbârcea & Asociații and head of the firm’s Capital Markets practice group said: “The Advent-Sanofi transaction was significant in value (approximately € 2 billion), as well as by reference to the plurality of jurisdictions involved and the complexity of the legal strategy needed to reorganise the business (so that the GX component can be transferred and while also maintaining the internal operational flows on non-GX), the alignment of the global transfers and, last but not least, by reference to the capital market issues that we had to tackle, given that Zentiva Romania is listed on the Bucharest Stock Exchange”.

Also, Europe’s most active and innovative law firms in banking and finance, capital markets and M&A were celebrated at IFLR’s 20th annual Europe Awards held in London on April 4 .Țuca Zbârcea & Asociații brought home the Most Innovative Law Firm of the Year in Romania award for its work on the EUR 1.9 billion Sanofi/Zentiva – Advent International deal.

Commenting on the win, Gabriel Zbârcea, Managing Partner at Țuca Zbârcea & Asociații, said: “I am pleased and honoured to accept this award on behalf of my team. It is already the third accolade awarded for our work on the Sanofi/Zentiva – Advent International deal in the past couple of weeks. I could not be happier, as such recognitions are testament to the complexity of the project and its market impact not only at a European, but also at a local level. After all, Romania is home to Zentiva’s only manufacturing facility outside the Czech Republic. I would like to thank and congratulate all parties involved in this cross-border M&A - our client, as well as the dozens of lawyers across Europe who ran the deal very professionally. Above all else, however, the award belongs to our team of lawyers whose tireless efforts successfully contributed to the completion of the transaction, including Silvana, Sorin, Oana, Mihaela, Dominic, Ciprian, Bogdan, Mihai, Dana, Daiana, Ana, Florentina, Ovidiu”.

Finalists for the prestigious and peer-selected CEE Deal of the Year Awards were chosen by panels of highly-regarded private practitioners in each country, with winners determined by a second group of prominent legal experts from across Central and Eastern Europe. Deals submitted for consideration were signed in the 2018 calendar year, and the jury based their assessment on deal complexity, market (and regional) significance, and value, among other factors.

Also, IFLR Europe Awards celebrate innovation, novelty and complexity – whether structural or regulatory. International Financial Law Review – IFLR is the editor of the renowned “IFLR 1000”, the only international legal directory dedicated to ranking law firms and lawyers on the basis of financial and corporate transactional work.
