TÜV Austria –a service provider in the field of testing, inspection, certification, and training– continues to grow globally and consolidate its position as a leader in the industry, with the legal support from Moroğlu Arseven and YUST Law Firm.

Most recently, both firms provided end-to-end legal support to TÜV Austria Holding AG during a comprehensive share transfer implemented in Turkey and Russia.

Moroğlu Arseven advised TÜV Austria Holding AG and its Turkish subsidiary TÜV Austria Turk, during the acquisition of shares in Sıla Kalite in Turkey and Sıla Industry in Russia. The firm’s end-to-end legal support stretched from conducting legal due diligence, analyzing cross-jurisdictional issues, negotiating share purchase agreements to finalizing signing and closing transactions.

Along with Moroğlu Arseven, YUST co-led the transaction on the Russian side, adjusted the transaction documents in line with the Russian jurisdiction requirements.

Sıla Kalite is a Turkey-based company with active operations in Russia, Georgia, Azerbaijan and Turkmenistan through its local entities (including Sıla Industry in Russia) and partners, and mainly engaged in destructive and non-destructive testing, independent inspection, personnel training and certification services.
